Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the Agent Human platform, APIs, software, documentation and related services (collectively, the "Services") operated by Agent Human LLC, a Delaware limited liability company ("Agent Human," "we," "us," or "our").

By accessing or using the Services, you represent that you are acting on behalf of a business entity and that you have the authority to bind that entity ("Customer") to these Terms. If you do not agree to these Terms, you may not use the Services.

2. Description of Services

Agent Human provides a cloud-based platform that enables businesses to deploy real-time, interactive AI video agents via live audio-video streaming.

The Services receive live audio streams from Customer via supported real-time communication protocols (such as WebRTC) and generate AI-rendered video output that is streamed back to Customer in real time.

The Services do not provide legal, medical, financial or other professional advice.

3. Eligibility and B2B Use

The Services are offered exclusively for business use. Individuals may access the Services only on behalf of a business or other legal entity. Consumer protection laws applicable to personal or household use do not apply.

4. Accounts, API Access and Security

4.1 Account Registration

Access to the Services requires creation of an account and issuance of one or more API keys.

4.2 Account Responsibility

Customer is solely responsible for:

  • All activity conducted through its account or API keys
  • Maintaining the confidentiality and security of credentials
  • Any use by employees, contractors or third parties

Agent Human is not responsible for unauthorized access resulting from Customer's failure to secure credentials.

5. Fees, Billing and Payments

5.1 Pricing Model

The Services are billed on a subscription and/or usage-based basis, as specified at the time of purchase or in an applicable order form.

Fees may include:

  • Recurring subscription fees
  • Usage-based fees calculated by consumption (e.g., minutes, requests or compute)
  • One-time charges, where applicable

All fees are exclusive of applicable taxes unless stated otherwise.

5.2 Payment Processing

Payments are processed by a third-party payment processor, such as Stripe. Customer authorizes Agent Human to charge the designated payment method for all applicable fees.

Agent Human does not store full payment card details.

5.3 Subscription Billing and Renewal

Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) and automatically renew unless canceled prior to the end of the current billing period.

Cancellation prevents future charges but does not retroactively refund amounts already paid.

5.4 Usage-Based Billing and Metered Charges

Usage-based fees are calculated based on Customer's actual consumption of the Services during the applicable billing period.

Once usage is incurred, corresponding charges are final, non-refundable and not reversible.

Customer acknowledges that usage may be reported asynchronously and reflected in billing with delay.

5.5 Plan Changes (Upgrades and Downgrades)

If Customer upgrades or downgrades a subscription plan:

  • A new billing cycle may begin immediately or at the next renewal
  • Unused included usage from the prior plan may expire or be adjusted
  • Usage already consumed remains billable and non-refundable

Agent Human is not obligated to preserve pricing or usage entitlements from prior plans.

5.6 Credits, Included Usage and Expiration

Included usage allowances or promotional credits:

  • Expire at the end of the applicable billing period unless stated otherwise
  • Have no cash value
  • Are non-transferable and non-refundable

Unused usage does not roll over unless expressly specified.

5.7 Failed Payments and Suspension

If a payment fails or is disputed:

  • Charges may be retried automatically
  • Access to the Services may be suspended or limited
  • API keys may be revoked for prolonged non-payment

Customer remains responsible for all accrued charges.

5.8 Taxes

Customer is responsible for all applicable taxes, duties or governmental charges arising from use of the Services, excluding taxes based on Agent Human's net income.

5.9 No Refunds

Except where required by law:

  • All fees are non-refundable
  • Usage-based charges are final once consumed
  • Partial billing periods are not prorated upon cancellation

5.10 Disputes and Chargebacks

Customer agrees to contact Agent Human prior to initiating any chargeback or payment dispute.

Unauthorized or excessive chargebacks may result in immediate suspension, termination or permanent revocation of API access.

5.11 Billing Records and Accuracy

Customer must maintain accurate billing and contact information and review invoices promptly.

Billing disputes must be reported within thirty (30) days of the invoice date, after which charges are deemed accepted.

5.12 Payment Processor Availability

Agent Human is not responsible for downtime, errors or delays caused by payment processors or third-party billing systems.

5.13 Changes to Fees

Agent Human may modify pricing or fees with reasonable advance notice. Fee changes do not apply retroactively.

6. Service Availability and Maintenance

The Services may be unavailable from time to time due to maintenance, upgrades, outages or other factors. Agent Human does not guarantee uninterrupted or error-free operation unless expressly agreed in a written service level agreement.

Agent Human may perform maintenance that temporarily affects availability without liability.

7. API Limits and Fair Use

Agent Human may impose rate limits, usage caps or throttling to protect platform stability and ensure fair use. Agent Human's internal usage metrics are the authoritative source for usage measurement, billing and enforcement.

8. Customer Technical Responsibilities

Customer is responsible for its own network connectivity, devices, compatible software, WebRTC configuration, firewalls, proxies and security controls, as well as correct integration and use of APIs and SDKs.

Agent Human is not responsible for failures caused by Customer's technical environment or integration errors.

9. Third-Party Services

The Services may rely on third-party infrastructure or providers. Agent Human is not liable for outages or failures caused by third-party services beyond its reasonable control.

10. Beta and Experimental Features

Agent Human may offer features designated as beta, experimental or preview. Such features are provided "as is," may change or be discontinued at any time and carry no reliability or availability guarantees.

11. Customer Content

11.1 Definition

"Customer Content" means audio data streamed by Customer to the Services.

11.2 Ownership

Customer retains all ownership rights in Customer Content.

11.3 License

Customer grants Agent Human a limited, non-exclusive, worldwide license to process Customer Content solely to provide, maintain and improve the Services.

Customer Content is not used for AI model training unless explicitly agreed in writing.

12. AI Outputs and Disclaimers

AI-generated outputs may be inaccurate, incomplete or inappropriate for certain uses. The Services are provided "as is" and do not constitute professional advice.

Customer is solely responsible for reviewing outputs, determining suitability and ensuring compliance with applicable laws.

14. Acceptable Use

Customer's use of the Services is subject to the Acceptable Use Policy, which is incorporated by reference. Agent Human may suspend or terminate access for violations at its sole discretion.

15. Intellectual Property

Agent Human retains all rights, title and interest in the Services, including all software, models, avatars and generated video output, excluding Customer Content. No rights are granted except as expressly stated.

16. Feedback

Customer may provide feedback or suggestions. Agent Human may use such feedback without restriction or obligation.

17. Indemnification

Customer shall indemnify, defend and hold harmless Agent Human and its affiliates from any claims, damages, liabilities and expenses arising from Customer Content, Customer's use of the Services, violations of these Terms or applicable law or unauthorized impersonation or misuse of likeness.

18. Export Controls and Sanctions

Customer represents that it is not located in and will not use the Services in violation of, applicable export control or sanctions laws.

19. Force Majeure

Agent Human shall not be liable for failures caused by events beyond reasonable control, including cloud outages, internet failures, natural disasters, war, labor disputes or government action.

20. Termination

Agent Human may suspend or terminate access immediately for violations, non-payment or legal or security concerns. Upon termination, Customer must cease all use of the Services.

21. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." AGENT HUMAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

22. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT HUMAN SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES.

AGENT HUMAN'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

23. Arbitration and Governing Law

These Terms are governed by the laws of the State of Delaware. Any dispute shall be resolved by binding arbitration in the United States and Customer waives any right to participate in a class action.

24. Assignment

Agent Human may assign these Terms in connection with a merger, acquisition or sale of assets. Customer may not assign without prior written consent.

25. Survival

Sections relating to intellectual property, indemnification, disclaimers, liability, dispute resolution and any provisions which by their nature should survive shall survive termination.

26. Changes to Terms

Agent Human may modify these Terms by posting updated versions. Continued use of the Services constitutes acceptance.
